These Terms and Conditions (“Terms”) govern your access to and use of the GeoSpy AI image geolocation platform, website, API, and related services (the “Services”) offered by Graylark Technologies Inc. (“GeoSpy,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Acceptance
You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Use of the Services constitutes your acceptance of these Terms and our Privacy Policy and Acceptable Use policy.
2. Description of Services
GeoSpy provides AI-powered image geolocation and location intelligence, including computer vision–based analysis of images to estimate or identify geographic location. Services may be offered via web application, API, or enterprise arrangements. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.
3. Account and Use
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to use the Services only in compliance with these Terms, our Acceptable Use policy, and applicable laws. You may not resell, sublicense, or redistribute the Services (or access thereto) except as expressly permitted in a separate written agreement with us.
4. Your Content and Data
You retain ownership of content (including images) you submit to the Services. You grant us a limited license to use, process, store, and transmit such content as necessary to provide and improve the Services. You represent that you have all rights required to submit such content and that it does not violate any third-party rights or applicable law. Our handling of personal data is described in our Privacy Policy.
5. Intellectual Property
GeoSpy and its licensors own all right, title, and interest in the Services, including software, algorithms, models, interfaces, and documentation. Nothing in these Terms grants you any right to our trademarks, logos, or other intellectual property except a limited right to use the Services in accordance with these Terms. Feedback you provide may be used by us without obligation to you.
6. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GEOLOCATION RESULTS WILL BE ACCURATE OR COMPLETE. USE OF THE SERVICES IS AT YOUR OWN RISK.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOSPY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
8. Indemnification
You agree to indemnify, defend, and hold harmless GeoSpy and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or applicable law.
9. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms, our Acceptable Use policy, or for any other reason with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
10. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.
11. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated via email or a notice in the Services. Continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
12. General
These Terms, together with our Privacy Policy and Acceptable Use policy, constitute the entire agreement between you and GeoSpy regarding the Services. No waiver of any term shall be deemed a further or continuing waiver. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
